1. Acceptance of Terms
By accessing or using PrismArt.app (“the Platform”), operated by PrismArt LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. Platform Description
PrismArt is an AI-powered marketplace connecting artists and galleries with entertainment and commercial production companies. The Platform facilitates artwork discovery, licensing, rental, and sale transactions between users.
3. User Accounts
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and all activities under your account. Users may register as artists, gallery managers, set designers, or collectors. Artist accounts require application and approval.
4. Intellectual Property
Artists retain full ownership of their artwork. By uploading to PrismArt, artists grant us a non-exclusive license to display, promote, and facilitate transactions involving their work on the Platform. PrismArt does not claim ownership of user-uploaded content.
5. Licensing Terms
Artwork transactions on PrismArt may include entertainment licensing, monthly rental, or retail purchase. Specific terms for each transaction type are defined in the licensing agreement between buyer and seller, facilitated through the Platform. PrismArt acts as a marketplace facilitator, not a party to licensing agreements.
6. Payment Processing
Payments are processed through Stripe. PrismArt collects a platform commission on completed transactions. Commission rates are disclosed before transaction completion. Refund policies are governed by individual transaction terms.
7. AI Features
PrismArt uses artificial intelligence (powered by Google Gemini) for artwork analysis, auto-tagging, and search. AI-generated tags are suggestions and may be corrected by users. PrismArt does not guarantee the accuracy of AI-generated metadata.
8. Prohibited Conduct
- Uploading artwork you do not own or have rights to
- Misrepresenting your identity or credentials
- Circumventing Platform transaction processes
- Using the Platform for unlawful purposes
- Attempting to reverse-engineer AI systems
- Scraping or automated data collection
9. Limitation of Liability
PrismArt provides the Platform “as is.” We are not liable for disputes between buyers and sellers, inaccuracies in artwork descriptions, or interruptions in service. Our total liability shall not exceed the amount of fees paid to PrismArt in the twelve months preceding the claim.
10. Termination
We may suspend or terminate accounts that violate these Terms. Upon termination, your right to use the Platform ceases. Artwork data may be retained for legal compliance purposes.
11. Governing Law
These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts located in Harris County, Texas.
